Terms and Conditions of Contract

DEFINITION OF MEMBER: All vendors must be verifiable businesses as defined by inclusion in the database of the local county clerk,the Tennessee Secretary of State, or the verifiable presence of an agency representative doing business in Rutherford County, TN.

PROMISE TO PAY: As payment for your membership, you agree to pay Zipopolis, LLC (dba "ShopRutherford.com") the stated amount, payable (respectively) in annual, semi-annual, or monthly installments.

TERMS OF MEMBERSHIP: Services purchased under this contract are for 6 or 12 months. At the expiration of this contract, we may offer to you an opportunity to enter into a renewal membership arrangement with us at our current prices. Acceptable methods of payment include Credit Card, Check, or Money Order.

RESTRICTIONS ON ASSIGNMENT OR CANCELLATION: You understand that you have signed a promissory note. Your failure to exercise your right to alter your directory page does not relieve you of your liability for payment and your membership is absolutely non-transferable, nonrefundable and noncancellable, except as provided in this agreement.

RELOCATION: If a member relocates his/her business outside of Rutherford County, Tennessee, the member may cancel this agreement upon the following conditions: (1) Membership dues must be current, (2) Established residence verified with proof satisfactory to Zipopolis, LLC, (3) 30-day written notice, addressed to 1715 S. Rutherford Blvd. Sute K, Box 222 Murfreesboro, TN 37130, which takes effect after conditions (1) and (2) are met. There is a $25.00 cancellation fee for relocation if requested during the active contract period.

LAW APPLICABLE: Tennessee law governs this contract.

INVALID PROVISION: If any part of this Contract is found to be invalid or unenforceable, the remainder of the Contract will be valid and enforceable.

ENTIRE AGREEMENT: If there are multiple signees, each is individually responsible to fully perform all obligations under this Contract. It is the responsibility of the signee(s) to know whether this Contract is in default or that payments have been missed. We are not responsible for notifying you of late payments, or any default proceedings.

NO WAIVER OF RIGHTS: We do not waive our right to have future payments made when due if we accept a late or partial payment or delay the enforcement of our rights on any occasion.

APPLICATION OF PAYMENTS: We will apply all payments received to pay the installments (including late charges, if any) in the order in which they are scheduled to be paid.

DISHONORED CHECK FEE: If a check, draft, or order of the payment of money on any bank or other depository submitted by you to Zipopolis, LLC as payment is not honored by the bank, Zipopolis may add a fee of twenty-five dollars ($25.00) or 10% of the face amount of the check, draft, or order, whichever is greater, to the unpaid balance under the contract unless the check, draft, or order is made good within five (5) business days after Zipopolis, LLC provides you written notice of the bank's dishonor.

SPONSORSHIPS: Any business or individual may sponsor a non-profit organization, but only businesses with an existing directory page can be displayed in the Zipopolis directory. Non-profit organizations must give written consent to be sponsored by a particular business/individual. Zipopolis, LLC reserves the right to refuse any sponsorship request.

DEFAULT: You are in default if:

1. We do not receive a payment from you on or by the date it is due, or
2. You fail to fulfill one or more of your obligations or promises under this Contract including full compliance with Zipopolis, LLC's Terms and Conditions, or
3. Insolvency actions are begun by or against you. Insolvency includes situations where you are unable to pay all of your debts as they become due.

ACCELERATION OF PAYMENTS: If you are in default as hereinabove provided, we can demand immediate payment of all unpaid installments.

COLLECTION FEES/ATTORNEY FEES AND COURT COSTS: If you fail to pay any one or more of the installments due under this contract, Zipopolis, LLC will retain a collection agency and/or an attorney for collection proceedings. You will be responsible for payment of all collection costs including reasonable attorney fees and court costs. 

ADDITIONAL FEES: Directory pages are designed to be set up and updated by individual vendors. If you would like a Zipopolis, LLC representative to set up/update your page (i.e. take/resize pictures, upload images/content, collect written content, etc.), a $30 fee will be assessed for this service. Subsequent maintenance sessions are $25. There is no charge for vendors who call with specific questions about the set up and/or update process.

RIGHT TO REFUSE SERVICE:
Zipopolis, LLC may refuse to serve any user, business, or vendor at its discretion without explanation.
